Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of TSS Talent Lab, a service operated by Tech Supersonic LLC ("Tech Supersonic", "we", "us"), a limited liability company registered in Austin, Texas, United States.
By creating an account, booking a discovery session, or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
2. Services Description
TSS Talent Lab is a vetted engineering placement service. We identify, assess, and place AI-native engineers with client businesses on hourly or monthly retainer engagements. We are not a recruitment agency — engineers are sourced, contracted, and managed by Tech Supersonic LLC, and clients contract directly with Tech Supersonic.
We reserve the right to modify, suspend, or discontinue any feature of the service at any time, with reasonable notice for paid engagements.
3. Client Obligations
Clients agree to provide accurate company information, treat engineers and Tech Supersonic staff professionally, and use the service only for lawful business purposes.
Clients are responsible for the working environment, access controls, and any client-supplied tools, credentials, or data shared with placed engineers. Clients must not attempt to hire placed engineers directly, off-platform, during an active engagement or for 12 months following its end without written agreement from Tech Supersonic.
4. Engineer Placement Terms
All engineers go through technical assessment, identity and background verification, video interview, and reference checks before being placed. Tech Supersonic remains the engineer's contracting party at all times; clients do not employ the engineer directly.
Clients may interview engineers before committing and may request a replacement at any time if the fit is not right. Tech Supersonic will use commercially reasonable efforts to provide a suitable replacement within 10 business days.
5. Payment Terms
Invoices are issued by Tech Supersonic LLC in US dollars, on a monthly basis in arrears unless otherwise agreed in writing. Standard payment terms are Net 14 from invoice date.
US clients receive a US tax invoice. Clients are responsible for any taxes, duties, or withholdings imposed by their own jurisdiction. Engagements may be paused or terminated for non-payment after written notice.
6. Intellectual Property
All work product, code, documentation, and other deliverables created by placed engineers during an engagement are assigned to the client on full payment of the relevant invoice. Tech Supersonic and the engineer retain no residual rights in the deliverables beyond standard portfolio reference rights (which may be waived on request).
Pre-existing tools, libraries, and general know-how brought by the engineer or Tech Supersonic remain the property of their respective owners. Open source components are governed by their respective licences.
7. Confidentiality & Data
Every engineer signs a non-disclosure agreement before any client engagement begins. Tech Supersonic treats client information as confidential and will not disclose it to third parties except as required to deliver the service or by law.
Data processing obligations are included in every contract. A Data Processing Agreement (DPA) is available on request for GDPR-regulated and enterprise clients.
8. Limitation of Liability
To the maximum extent permitted by law, Tech Supersonic's total aggregate liability arising out of or related to the service in any 12-month period shall not exceed the total fees paid by the client to Tech Supersonic during that period.
Tech Supersonic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded under applicable law.
9. Governing Law
These Terms and any engagement contract entered into through TSS Talent Lab are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles.
Any dispute arising out of or related to the Terms or the service shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and the parties consent to the personal jurisdiction of those courts.
